Terms of Service

These Terms govern your access to and use of Liquyn (the “Service”). By accessing or using the Service you agree to these Terms.

1. What Liquyn Is

Liquyn provides software for building, analyzing, and trading synthetic markets that settle onchain. We are not a broker, exchange, custodian, or investment adviser. We do not hold customer funds or private keys.

2. Eligibility

  • You are at least 18 years old and legally able to enter contracts.
  • You are not located in, or a resident of, a restricted or sanctioned jurisdiction.
  • You will use the Service for lawful purposes only and in compliance with applicable laws and exchange rules.

3. Accounts & Security

You are responsible for safeguarding login credentials and any wallets you connect. Onchain transactions are irreversible. You acknowledge that blockchain networks are public and that transactions may be visible to anyone.

4. Onchain Activity & Smart Contracts

  • Interactions with smart contracts occur directly on public networks. Contracts are experimental and may contain bugs or experience network issues.
  • You understand gas fees, execution risk, MEV, reorgs, oracle delays, and other onchain phenomena can affect pricing and settlement.
  • Liquyn does not control third‑party networks or protocols and is not responsible for losses arising from their behavior.

5. Market Data, Strategies, and No Advice

Any analytics, signals, or strategy tooling are provided “as is” for informational purposes only and do not constitute financial, legal, or tax advice. Past performance does not guarantee future results.

6. Fees

Certain features may incur fees (e.g., subscriptions, protocol fees, or network gas). Fees will be disclosed in‑app or via checkout. Onchain fees are determined by the network and are non‑refundable once a transaction is submitted.

7. Prohibited Conduct

  • Market manipulation, wash trading, or abusive activity.
  • Interference with the Service, smart contracts, or APIs.
  • Attempting to circumvent applicable sanctions, KYC/AML controls of connected venues, or local regulations.

8. Intellectual Property

The Service, including software, brand, and content, is owned by Liquyn or its licensors. You receive a limited, revocable, non‑exclusive license to use the Service as provided.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIQUYN, ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE OR ANY ONCHAIN TRANSACTION.

11. Indemnification

You agree to indemnify and hold Liquyn harmless from claims arising from your use of the Service, violation of these Terms, or infringement of third‑party rights.

12. Governing Law

These Terms are governed by the laws applicable in our place of organization, without regard to conflict‑of‑laws principles.

13. Changes

We may revise these Terms periodically. Material changes will be posted in‑app. Your continued use after changes become effective constitutes acceptance.
